Why was Brasilian rail company taken over by Japan's JR West?

While population around Rio de Janeiro is increasing, ridership of the suburban rails is decreasing. It means railway operator doesn't take appropriate measures. As is often the case with rail companies in developing countries, they don't have human resources understanding how to operate rail systems more efficiently. So, it would be better to rely on JR West to get more information on how to increase ridership. That's because JR West is making profits, while population along its network is shrinking.
